Momentum Engine Audit Terms of Service

1. Overview
These Terms of Service govern access to and use of the Momentum Engine Audit, including related discovery, account or asset review, tracking review, funnel or lead-flow analysis, findings, recommendations, reporting, and service support provided by Next Step Marketing.
These terms are currently a working draft and should be reviewed and finalized before production use.
2. Audit Structure
Momentum Engine Audit may include a combination of intake, business and offer review, website or landing-page review, advertising account review, CRM or pipeline review, follow-up workflow review, tracking and analytics review, reporting, and strategic recommendations.
Your exact audit scope, pricing, timeline, access requirements, deliverables, and any follow-up implementation options should be defined in a separate written agreement.
3. Client Cooperation
You agree to provide timely approvals, accurate business information, necessary platform access, and any required context, screenshots, reports, creative assets, or compliance inputs needed to complete the audit.
If approvals, access, or dependencies are delayed, audit delivery dates, findings, recommendations, and review sessions may be affected.
4. Acceptable Use
You may not use the audit or related materials to:
- promote unlawful, deceptive, or prohibited offers
- violate advertising, privacy, telemarketing, messaging, or consumer-protection laws
- upload malicious code or attempt unauthorized access
- misuse lead data, customer data, platform data, or integrations
We may suspend work or access if continued review would create material compliance, legal, platform, privacy, or security risk.
5. Third-Party Systems
Momentum Engine Audit may involve review of third-party advertising networks, CRMs, communication tools, form builders, call tracking providers, analytics services, scheduling tools, website platforms, and other external systems.
We are not responsible for issues caused by outages, unavailable data, missing permissions, account restrictions, platform policy enforcement, attribution changes, API changes, or limitations in third-party reporting.
6. Fees and Billing
Fees, audit charges, discovery charges, review-session charges, and optional follow-up service upgrades are governed by your accepted proposal, invoice, scope document, or service agreement.
Failure to pay on time may result in suspension of audit work, reporting, review sessions, platform access, or support.
7. Ownership and Use Rights
You retain rights to your pre-existing business materials, customer data, account data, and platform data.
Next Step Marketing retains ownership of its proprietary methodologies, audit frameworks, templates, internal systems, documentation, and background intellectual property unless otherwise agreed in writing.
Subject to full payment and any separate agreement terms, you may use final audit findings and client-facing recommendations created specifically for your business for your internal business operations.
8. Recommendations; No Guaranteed Outcome
Momentum Engine Audit is a diagnostic and strategic review. Recommendations are based on available information, access, data quality, platform visibility, and professional judgment at the time of review.
We do not guarantee that implementing audit recommendations will produce a specific number of booked appointments, qualified leads, sales, close rates, cost per lead, return on ad spend, ranking positions, review volume, or advertising outcomes unless expressly stated in a signed written guarantee.
9. Limitation of Liability
To the fullest extent permitted by law, Next Step Marketing will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, advertising spend, missed opportunities, or platform account actions related to the audit.
Any direct liability cap should be finalized in the production version of these terms.
10. Completion and Follow-Up Services
Momentum Engine Audit is complete when the agreed audit deliverable, findings, report, review session, or other scoped output has been delivered or made reasonably available.
Follow-up implementation, campaign management, technical fixes, platform configuration, creative production, or ongoing support are not included unless listed in the applicable commercial agreement.
11. Changes to These Terms
We may revise these terms from time to time and publish the updated version on this page or through another commercially reasonable notice method.
